Please read these Terms carefully before using StudyPulse.
These Terms cover independent learners, organization workspaces, educators, parents and guardians, AI tutoring, assessments, subscriptions, enterprise controls, integrations, and API access.
1. Acceptance of these Terms
These Terms and Conditions (the “Terms”) form a binding agreement between you and StudyPulse regarding your access to and use of the StudyPulse websites, applications, dashboards, APIs, AI-assisted tools, content services, and related support (collectively, the “Service”). “StudyPulse,” “we,” “us,” and “our” refer to the StudyPulse contracting entity identified on an applicable order form, invoice, subscription page, or other transaction record, or, where none is identified, the operator of studypulse.ai.
By creating an account, accepting an invitation, purchasing a subscription, using an organization workspace, accessing the API, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and the Privacy Policy. If you use the Service for an organization, you represent that you have authority to bind that organization.
2. Who may use StudyPulse
You must be legally capable of entering into these Terms. A person who has not reached the age at which they may independently consent to online services in their country may use StudyPulse only through an authorized school, institution, parent, or guardian and with all permissions required by applicable law.
Independent learner accounts are intended for users who can legally create their own accounts. Children below the applicable digital-consent age must not create an independent account without verified authorization. Organization administrators are responsible for ensuring that invitations, enrollments, parental permissions, and age-related safeguards are lawful and appropriate.
3. The Service
StudyPulse is an AI-enabled learning and learning-operations platform. Depending on the plan, role, organization settings, and region, the Service may include course creation and delivery, content uploads, AI tutoring, quizzes, flashcards, assignments, exams, projects, grading, attendance, progress tracking, certificates, study planning, audio or voice features, parent or guardian views, organization administration, integrations, single sign-on, billing tools, and API access.
Features may differ by plan, account type, organization configuration, device, country, or technical availability. Beta, preview, or experimental features may be changed, suspended, or withdrawn at any time and may be subject to additional terms.
4. Account registration and security
You must provide accurate, current information and keep it updated. You are responsible for maintaining the confidentiality of your password, authentication method, recovery details, API credentials, and devices. You must promptly notify us of suspected unauthorized use or a security incident involving your account.
Accounts are personal unless StudyPulse expressly permits shared or service accounts. You may not sell, transfer, rent, or allow unauthorized persons to use your account. We may require email verification, identity verification, organization verification, multifactor authentication, or other security checks.
5. Roles, permissions, and organization workspaces
StudyPulse uses role-based access. Roles may include independent learner, organization learner, educator, trainer, parent or guardian, organization administrator, staff member, manager, and super administrator. Each role has different permissions, and an organization may further configure access.
An organization controls its workspace, invited users, enrollments, course access, role assignments, branding, integrations, billing, and organization-managed records. Organization administrators are responsible for granting only appropriate access, removing access when it is no longer needed, and complying with employment, education, privacy, child-protection, and records laws.
A parent or guardian account does not automatically receive access to a learner. Linking must be approved through the Service’s permission workflow or by an authorized organization. Private learner notes and private AI conversations are not visible to parents or guardians by default unless a lawful, clearly disclosed setting provides otherwise.
6. Subscriptions, fees, taxes, and billing
Paid plans may be offered monthly, yearly, per seat, by usage, or under a custom order. Prices, included features, limits, and renewal terms are shown at purchase or in an order form. Unless stated otherwise, subscriptions automatically renew for the same billing period until cancelled before the renewal date.
You authorize StudyPulse and its payment providers to charge the payment method associated with your account for subscription fees, usage charges, applicable taxes, and other amounts disclosed at checkout. You are responsible for keeping billing details current and for bank, foreign-exchange, or card charges imposed by third parties.
Fees are generally non-refundable once a billing period begins, except where the plan, order form, published refund policy, or applicable law requires otherwise. Failure to pay may result in restricted features, suspension, or termination. We may change prices or plan structures on reasonable advance notice; changes normally apply from the next renewal unless law requires a different approach.
7. Trials, free plans, quotas, and usage limits
Free plans, trials, promotional credits, AI quotas, storage limits, seat limits, API limits, and other allowances may be limited, changed, or discontinued. Unused allowances do not carry forward unless expressly stated. Attempts to avoid limits through duplicate accounts, automated account creation, credential sharing, or technical circumvention are prohibited.
Usage-based features may stop, queue, degrade, or require an upgrade when a limit is reached. Organization administrators are responsible for allocating seats and monitoring usage within their workspace.
8. Educational content and user submissions
You retain ownership of original materials you upload or create, including documents, images, recordings, questions, course content, notes, prompts, responses, and other submissions (“User Content”). You grant StudyPulse a limited, worldwide, non-exclusive licence to host, copy, process, format, transmit, display, and otherwise use User Content only as reasonably necessary to operate, secure, support, improve, and provide the Service, comply with your instructions, and meet legal obligations.
You must have all rights and permissions needed to upload or use User Content. You must not upload confidential, copyrighted, personal, biometric, health, financial, or other restricted information unless you are authorized to do so and the intended use is lawful. Organization customers are responsible for deciding what information their users may submit.
You may delete User Content through available controls, subject to organization retention settings, legal obligations, dispute preservation, backup cycles, and technical limitations. Termination does not automatically require StudyPulse to retain content indefinitely.
9. AI features and responsible use
Pulse.E and other AI features may generate explanations, summaries, questions, flashcards, assessments, study plans, transcriptions, recommendations, or other outputs. AI output may be incomplete, inaccurate, biased, outdated, or unsuitable for a particular learner. It must be reviewed by a qualified human before being used for high-impact decisions, official grading, disciplinary action, admissions, employment, medical decisions, or safeguarding decisions.
AI is a learning aid, not a substitute for a teacher, professional adviser, emergency service, doctor, counsellor, or other qualified professional. Users should verify important information and should not rely on AI output as the sole basis for decisions that may materially affect a person.
You must not use AI features to impersonate others, generate unlawful or harmful content, facilitate cheating or fraud, make discriminatory decisions, expose confidential information without authority, or attempt to extract system prompts, model parameters, security controls, or other protected information.
10. Assessments, grades, certificates, and psychometric tools
Assessment scores, grades, completion statuses, readiness indicators, and AI-assisted scoring are educational tools. They may require educator review and do not guarantee knowledge, competence, admission, licensing, employment, or regulatory recognition.
Certificates generated through StudyPulse confirm only the information shown on the certificate and the rules configured by the issuing organization. A certificate is not an accredited qualification unless the issuing organization is independently authorized to provide that qualification.
Any well-being, behavioural, learning-style, aptitude, or psychometric feature is for educational support and reflection only. It must not be treated as a clinical diagnosis, medical assessment, disability determination, or the sole basis for grading, ranking, exclusion, discipline, or certification.
11. Academic integrity and acceptable learning use
Users must follow the academic-integrity rules of their school, institution, course, employer, or certification body. StudyPulse may assist learning, but it must not be used to submit AI-generated work as original where prohibited, obtain unauthorized answers, interfere with assessments, falsify attendance or completion, or misrepresent identity or achievement.
Educators and organizations are responsible for setting clear rules regarding permitted AI use, reviewing assessments, and providing appropriate human oversight and appeal routes.
12. Acceptable use
- Do not violate any law, regulation, court order, contractual obligation, intellectual-property right, privacy right, or confidentiality duty.
- Do not upload malware, harmful code, abusive material, sexual content involving minors, terrorist content, unlawful discriminatory content, or material that promotes violence or self-harm.
- Do not harass, threaten, exploit, groom, stalk, defame, or impersonate another person.
- Do not access another account, organization, learner record, or system without authorization.
- Do not probe, scan, reverse engineer, disrupt, overload, scrape, copy, or bypass security, rate limits, paywalls, role restrictions, or technical controls, except where applicable law expressly permits security research and you have prior written authorization.
- Do not use the Service to build a competing dataset, model, platform, or service through systematic extraction or automated collection.
- Do not send spam, phishing, deceptive messages, or unsolicited bulk communications.
- Do not use StudyPulse for emergency, medical, clinical, or life-critical decision-making.
13. Third-party services and integrations
The Service may connect to payment processors, cloud hosting, email or messaging providers, identity providers, analytics services, AI providers, file storage, video platforms, mapping or location services, and other third-party tools. Your use of a third-party service may also be governed by that provider’s terms and privacy policy.
StudyPulse is not responsible for third-party services outside our control. An organization administrator who enables an integration represents that the organization is authorized to send data to and receive data from that integration.
14. API and developer access
API access is limited to approved plans and credentials. You must protect API keys, comply with documentation and rate limits, use appropriate authentication and encryption, and process personal data lawfully. You may not expose credentials in public repositories, use the API to bypass user permissions, or create an integration that materially harms users or the Service.
We may suspend or rotate credentials, change API versions, introduce limits, or retire endpoints. Where reasonably practicable, we will provide advance notice of material breaking changes for generally available enterprise APIs.
15. StudyPulse intellectual property
StudyPulse and its licensors own the Service, software, interfaces, design, branding, documentation, models or model configurations, workflows, templates, and all related intellectual-property rights, excluding User Content. These Terms give you a limited, revocable, non-exclusive, non-transferable right to use the Service during the applicable subscription and only for its intended purpose.
You may not copy, modify, distribute, sell, sublicense, publicly display, create derivative works from, or commercially exploit StudyPulse materials except as expressly permitted. “StudyPulse,” “Pulse.E,” logos, and related marks may not be used without written permission.
16. Feedback
If you provide ideas, suggestions, or feedback, you grant StudyPulse a perpetual, worldwide, royalty-free right to use and incorporate that feedback without restriction or payment, provided we do not identify you publicly without permission.
17. Monitoring, moderation, and enforcement
We may use automated and human measures to protect the Service, investigate abuse, enforce these Terms, comply with law, and respond to safety or security concerns. We are not required to pre-screen all content and do not assume responsibility for user conduct.
We may remove content, restrict features, reset credentials, suspend accounts, revoke API access, or terminate use where we reasonably believe there is a security risk, unlawful conduct, non-payment, abuse, a material breach, or risk to users or the Service. Where appropriate and lawful, we will provide notice and an opportunity to resolve the issue.
18. Service availability and changes
We aim to provide a reliable service, but we do not guarantee uninterrupted, error-free, or fully secure operation. Maintenance, internet failures, third-party outages, security events, capacity limits, and events beyond our reasonable control may affect availability.
We may update, redesign, replace, or discontinue features. For a material reduction to a paid core feature, we will seek to provide reasonable notice and, where applicable, a commercially reasonable transition or remedy.
19. Privacy and data protection
Our Privacy Policy explains how StudyPulse handles personal data. When an organization uses StudyPulse to process learner or staff data, the organization may be the controller or responsible entity and StudyPulse may act as its processor or service provider. Additional data-processing terms may apply to organization customers.
You must not use StudyPulse to collect or disclose personal data unless you have a lawful basis, provide required notices, obtain required consent, respect data-subject rights, and apply appropriate access and retention controls.
20. Suspension, cancellation, and termination
You may stop using StudyPulse at any time and may cancel a subscription through available account controls or by contacting support. Cancellation normally prevents the next renewal but does not reverse charges already incurred.
We may terminate these Terms or an account for a material breach, unlawful conduct, repeated abuse, security risk, prolonged non-payment, or where continued service would violate law or third-party obligations. We may also discontinue the Service on reasonable notice.
Upon termination, your right to use the Service ends. Provisions that by their nature should survive—including payment obligations, intellectual property, disclaimers, limitations of liability, indemnity, dispute terms, and lawful retention—will survive.
21. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” StudyPulse disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and results. We do not warrant that AI output, assessment content, integrations, certificates, or user content will be accurate, complete, suitable, secure, or accepted by any institution or authority.
Nothing in these Terms excludes warranties or consumer rights that cannot legally be excluded.
22. Limitation of liability
To the maximum extent permitted by law, StudyPulse and its affiliates, officers, employees, contractors, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, data, goodwill, opportunity, or business interruption arising from or related to the Service.
To the maximum extent permitted by law, StudyPulse’s aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amount you paid to StudyPulse for the Service during the twelve months before the event giving rise to the claim, or (b) USD 100 if you used only a free service. This limitation does not apply where liability cannot lawfully be limited, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence where applicable.
23. Indemnity
To the extent permitted by law, an organization customer will defend, indemnify, and hold harmless StudyPulse from third-party claims, damages, penalties, and reasonable costs arising from the organization’s User Content, instructions, integrations, unlawful processing of personal data, infringement of third-party rights, or material breach of these Terms. This obligation does not apply to the extent a claim was caused by StudyPulse’s breach, negligence, or wilful misconduct.
24. Governing law and disputes
If an order form or enterprise agreement identifies governing law and venue, that provision controls. Otherwise, these Terms are governed by the laws of the country in which the StudyPulse contracting entity identified on your invoice or subscription record is incorporated, without regard to conflict-of-law rules. Where no contracting entity is identified, the laws of the country in which StudyPulse’s principal operating entity is incorporated apply.
Before filing a formal claim, each party should give written notice and make a good-faith effort for at least thirty days to resolve the dispute. Courts with jurisdiction over the applicable StudyPulse contracting entity will have non-exclusive jurisdiction, except where mandatory consumer law permits you to bring a claim elsewhere.
25. Changes to these Terms
We may update these Terms to reflect legal, security, technical, or business changes. We will post the updated version and revise the effective date. For material changes, we will provide reasonable notice through the Service, email, or another appropriate channel. Continued use after the effective date means you accept the revised Terms, except where law requires express consent.
26. General provisions
These Terms, the Privacy Policy, applicable order forms, and any referenced supplemental terms form the entire agreement regarding the Service. If there is a conflict, an executed order form or enterprise agreement controls for that customer. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent needed and the remainder will continue.
You may not assign these Terms without our written consent, except as part of a permitted corporate reorganization or sale of substantially all relevant assets. StudyPulse may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets. Neither party is liable for delay caused by events beyond reasonable control.
